INTRODUCTION

These Terms and Conditions (“Terms”) govern the agreement between you and ALLUMINAS (“we,” “our,” “us,” or “ALLUMINAS”), relating to the use of our learning and training platform and services, including through ALLUMINAS AI and the ALLUMINAS AI ACCELERATOR.

DEFINITIONS

2.1 “Platform” refers to the ALLUMINAS learning and training platform, including web applications, mobile applications, and related services. described here as ALLUMINAS.

2.2 “User” refers to any individual granted access to the Platform or courses.

2.3 “Corporate Client” refers to the organization purchasing Platform subscription or training services.

2.4 “Course” refers to any training, whether delivered online or in-person.

ACCEPTANCE AND ACCESS

3.1 By accessing our services, you accept these Terms.

3.2 Corporate Clients must ensure all Users are aware of these Terms.

3.3 Users must be 18 years or older.

3.4 Individual accounts required; sharing access prohibited.

PAYMENT AND BILLING

4.1 Payment Terms:

• Payment required before access/course commencement
• Corporate subscriptions as agreed in contract
• Individual courses paid at booking

4.2 Payment Methods:

• Credit/Debit card
• Bank transfer (BACS, CHAPS, Wire Transfer)
• International payments exclude bank fees

4.3 Currency:

• UK clients billed in GBP
• US clients billed in USD
• Other territories as specified

CANCELLATIONS AND TRANSFERS

5.1 Platform Subscriptions:

• Annual: 30 days notice before renewal
• Monthly: Notice by 1st for end-of-month
• Early termination fee: 40% of remaining contract

5.2 Course Cancellations:

• Within 14 days: Full fee payable
• Beyond 14 days: 30% cancellation fee
• Credits valid for 12 months
• Delegate substitutions permitted with written notice

5.3 In-house Training Cancellation:

• Within 7 days: 40% fee plus expenses
• Within 14 days: 20% fee plus expenses
• Within 30 days: Expenses only

PLATFORM AND COURSE DELIVERY

6.1 Technical Requirements:

• Minimum internet: 10 Mbps
• Browsers: Current Chrome, Firefox, Safari, Edge
• Mobile: iOS 14+ or Android 8+

6.2 Online Delivery:

• Microsoft Teams platform
• Login details 7 days prior
• Technical issues responsibility of User

6.3 Classroom Delivery:

• Joining instructions 7 days prior
• Venue changes communicated promptly

INTELLECTUAL PROPERTY

7.1 All content protected by copyright

7.2 Materials cannot be copied without permission

7.3 ALLUMINAS branding is the sole property of the company, ALLUMINAS

DATA PROTECTION

8.1 Compliance with:

• UK GDPR
• EU GDPR
• US State Privacy Laws

LIABILITY

9.1 Services provided “as is”

9.2 Not liable for:

• User-generated content
• Technical issues beyond our control
• Third-party advice or content

9.3 Maximum liability limited to fees paid

JURISDICTION

10.1 UK Clients:

• English law applies
• Courts of England and Wales

10.2 US Clients:

• State laws apply
• Federal laws where applicable

MODIFICATIONS

11.1 30 days notice for Terms changes

11.2 Material changes require Client consent

FORCE MAJEURE

Neither party liable for circumstances beyond reasonable control, including but not limited to:

• Natural disasters
• Government actions
• Network failures
• Public health emergencies

SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
